How to Choose a Lawyer in Mozambique

Criteria for selecting local legal counsel — incorporation, contracts, licensing, and disputes.

Updated: May 2026 (with official references)

When you need a local lawyer

Mozambican law requires many acts — company formation, registrations, state contracts, property, and sector licences — to be drafted or validated under national law. Foreign lawyers may advise headquarters, but representation before local authorities requires professionals admitted in Mozambique.

Engage legal counsel before signing investment term sheets, land purchase promises, or joint venture agreements.

Skills to look for

Mid-size firms with a dedicated foreign investment practice often combine local depth and international experience.

  • Corporate law and commercial registry (Lda., S.A., branches)
  • Investment Code, CPI, and tax incentives
  • Commercial, employment, lease, and PPP contracts
  • Sector licensing (mining, energy, tourism, fisheries)
  • Dispute resolution, arbitration, and regulator relations

How to evaluate candidates

Confirm membership of the Mozambican Bar Association and absence of disciplinary sanctions. Ask for references on comparable projects and clarify the team (partner vs. junior associate) and working languages.

  • Fee proposal by phase (due diligence, incorporation, licences)
  • Realistic timelines aligned with the project schedule
  • Conflict policy if the firm represents competitors

Mandate and managing the relationship

Formalise an engagement letter covering scope, powers of representation, confidentiality, and reporting. For ongoing operations, consider a monthly retainer and regulatory update meetings.

Keep copies of all registrations and licences obtained; counsel should deliver an organised file at the end of each phase.

Key official institutions

APIEX (apiex.gov.mz) registers foreign investment and incentives. AT (at.gov.mz) manages NUIT, VAT, and CIT. Capital repatriation requires banking compliance with the Bank of Mozambique.

Best practices and disclaimer

This guide is for information only. Bar rules and legal requirements evolve — always confirm professional status and mandates with your chosen lawyer.

  • Do not use contract templates from other jurisdictions without local adaptation
  • Coordinate lawyer, accountant, and CPI consultant from the planning stage
  • Require written advice on regulatory risks before irreversible commitments
  • Reassess counsel if you change sector or investment scale
